Cayman Investment Management Solutions

A Cayman-based investment manager may be appropriate where a structure needs Cayman presence, discretionary investment-management responsibility and oversight that can be evidenced. The point is not to build a full local team where one is not needed, but to create a workable Cayman role that fits the fund, the manager, counsel and the wider service-provider structure.
This is a careful balance. Artemis needs to hold the Cayman role and exercise the discretion and oversight required for the structure, but the onshore team should not feel that Artemis is cutting in or taking over its day-to-day investment process. The model should make clear what Artemis does, what the onshore team continues to do, and how the oversight is documented.
Where the structure is appropriate, Artemis can act as the Cayman manager of a fund marketed under EU or UK private placement regimes, or as a delegate to an authorised AIFM, subject to the applicable delegation conditions and cooperation arrangements. Where functional separation of portfolio and risk management is required, Artemis can help design a proportionate framework that reflects it. Counsel should confirm the AIFMD analysis for each structure.
The retained and delegated functions should be agreed structure by structure. Artemis may retain Cayman oversight, discretionary review, risk oversight, governance records, and escalation of material matters, while defined portfolio-management, research, advisory or execution functions may remain with the onshore team. The split should be specific enough that counsel, the manager and service providers know where responsibility sits.
The cadence should be proportionate to the strategy, liquidity and regulatory requirements of the structure. Artemis aims to be as involved as required to meet the applicable oversight and regulatory expectations, but no more than necessary. The aim is to avoid creating drag on the manager's day-to-day operations while still receiving enough information to perform the Cayman role properly.
Where it is required, or where it gives the manager and advisers comfort, Artemis may be able to provide a director from the investment management side to sit on the board. This should be handled carefully and scoped at the outset, especially where other directorship relationships are already in place.

Directorships and Economic Substance Solutions

Artemis has two directorship offerings: independent directorships and Economic Substance directorships. An independent directorship can help fill a board with specific skills, experience and judgement. An Economic Substance directorship is similar in governance standard, but the role is performed in Cayman to help meet Cayman Economic Substance requirements for the relevant activity.
Artemis can support local Economic Substance by providing Cayman-based director involvement, decision-making support and records connected to the relevant activity. This is not limited to fund-management activity; Artemis can consider directorship roles across different types of engagements where Cayman involvement is required and properly scoped.
Cayman Economic Substance is not a black-and-white checklist where an entity simply scores enough points. The focus is whether the entity has appropriate Cayman activity, expenditure, people and premises, governance and records for the relevant activity.
Evidence may include minutes, decision records, CIGA records, time records, personnel or premises evidence, policies, reporting files and oversight notes, depending on the engagement.

BVI Approved Manager

A BVI Approved Manager may be relevant where a manager or adviser is operating below the applicable thresholds and wants a lighter-touch regulatory route than a fuller licensing framework. It can be particularly relevant where a structure uses a Cayman fund, but the investment manager is structured as a BVI Approved Manager.
The BVI Approved Manager regime does not necessarily require the manager to operate physically from the BVI, subject to its required BVI service providers. Where the structure is appropriate and counsel confirms the route, Artemis can provide Cayman-based investment management experience alongside the arrangement. It is a related offering to the Cayman investment management solution, operating under a different regime.
The regime may be lighter-touch, but it is not obligation-free. Managers should consider filings, financial statements, AML responsibilities, record-keeping, notifications, threshold monitoring and possible regulatory changes. Artemis can help clients think through the practical operating burden, working with counsel as needed.

Outsourced Investment & Risk Officer

This may suit an individual, sponsor or investment team launching a fund or running a structure that needs experienced risk oversight or outsourced CIO-style input without hiring a full internal function. Artemis can provide senior investment and risk input where the client wants practical review, manager selection support, due diligence reviews or independent challenge.
Where in scope, Artemis can assist with manager selection, investment due diligence reviews, portfolio or strategy reviews and challenge around the investment process. This can be useful where a client wants to test assumptions, review third-party managers or prepare materials for an investment committee or launch process.
Artemis can discuss support for individuals or teams looking to launch a fund and wanting to draw on investment-management, risk and governance experience before the structure is fully operational. This is likely to be a tailored engagement rather than a standard product, so the starting point is a conversation about the strategy, target investors and timing.

Why Artemis

Artemis is not intended to be a rigid platform model. The service is tailored to each client's strategy, structure and requirements. Artemis is open to looking at complex or unusual engagements and determining if workable solutions exist.
Real Cayman presence means experienced, on-island involvement and no outsourcing of core functions. Clients and advisers should expect direct senior communication and responsive follow-up, rather than work being passed around a large service desk or outsourced team.
Governance-led means active board participation, oversight and decision-making support where those functions are part of the appointment. Artemis is not seeking passive appointments. The aim is to provide informed involvement, clear records and practical challenge where the structure requires it.
Artemis can operate across a flexible model, from light-touch oversight through to higher-touch management responsibility, depending on the structure and the agreed scope. The level of involvement should reflect what the client needs, what the relevant regulatory framework requires and what is commercially workable.
Artemis focuses on solutions designed to work in practice, not rigid frameworks. It can work with Cayman counsel, onshore counsel, administrators, auditors and other service providers where that coordination is in scope, but it should not be read as taking over every service-provider issue by default. The objective is to make the structure clear, workable and properly evidenced.
Artemis takes on engagements only where it has the expertise, time and ability to add value. Independence and capacity are not just compliance concepts; they affect whether a director, investment manager or oversight role is credible in practice. Artemis's model is senior-led, so clients and advisers should expect informed, direct involvement rather than a passive appointment.
