Directorships that actually direct
An Artemis directorship is not a nameplate. It is a working seat on your board, held by someone with the time, the independence and the Cayman experience to be useful when it matters: during a launch, a wind-down, a difficult NAV, a regulator’s question, or a decision that needs to be made and documented properly the first time.
We offer two forms of appointment, and it’s worth being clear about the difference.
Independent directorships
These are appointments where the board needs a specific skill set added to it: investment judgement, fund-services experience, finance and audit fluency, or governance depth. The role is what you’d expect from a serious independent: reviewing materials properly, participating in meetings, challenging where challenge is warranted, and making sure decisions are recorded in a way that stands up later.
Economic Substance directorships
Where the relevant activity requires directors to be directing from Cayman, the appointment is scoped to sit inside the entity’s wider substance position. The governance standard is the same as any independent seat; the difference is that the meetings, decisions and records are structured to evidence Cayman-based direction and management for the CIGA in question.
Who this tends to suit
- Hedge funds and multi-strategy vehicles wanting a credible independent voice on the board
- DeFi and crypto trading funds needing directors who understand the operational reality, not just the offering document
- Finance and leasing companies, holding structures and SPVs brought into Economic Substance scope
- Operating companies that need Cayman-based board oversight tied to genuine activity
What engagement looks like
Every appointment is scoped at the outset: capacity, cadence, materials, reporting lines, escalation, and how the seat sits alongside any other directors already in place. We’d rather turn down a role than take one we can’t do properly, and we’ll tell you if the answer is that this won’t work.
The emphasis is on judgement, capacity and useful involvement, not simply occupying a board seat.
In practice that means showing up prepared, asking the questions that need asking, keeping records that a regulator or auditor can follow, and being reachable between meetings when something moves. It also means being honest about conflicts, capacity limits and where a matter should sit with counsel or the administrator rather than the board.
How to take the next step
If you’re weighing up a directorship appointment, for a new launch, a board refresh, or an entity that has fallen into Economic Substance scope, the fastest way to a useful answer is a short conversation about the structure, the activity and what the board actually needs. We’ll tell you what we can do, what we can’t, and what a proportionate scope looks like.
Boards that add judgement
Artemis provides independent directorships and Economic Substance directorships for Cayman structures that need real board-level oversight. We scope each appointment carefully, so responsibilities are clear, involvement is proportionate, and the role adds something the board didn't have before.
Every director is registered with CIMA under the Directors Registration and Licensing Act, an Accredited Director with the Chartered Governance Institute of Canada and a CIDA member. What you get on the board is capacity, independence, and the time to engage properly.
Independent directorships
A seat filled with specific investment, finance, fund-services or governance expertise. Meaningful board participation, review of materials, documented decisions, and practical challenge where it's needed, not passive attendance.
Economic Substance directorships
Where the director role must be performed in Cayman to support the entity's substance position. Same governance standard as an independent appointment, with the Cayman activity, decision records and CIGA evidence to back it up.
Fund boards
Multi-strategy hedge funds, DeFi and crypto trading vehicles, and US-managed Cayman structures where boards need someone who understands how the fund actually operates, not just how the offering documents read.
Operating companies, SPVs and holding structures
Credible Cayman-based governance for finance and leasing companies, holding vehicles and SPVs brought into scope of the Economic Substance Act, or simply needing experienced oversight.
Scoped, proportionate engagement
We agree the remit up front: what we do, what management does, and how oversight is evidenced. The aim is useful involvement without unnecessary operational drag.
How a directorship engagement works
From first conversation to a scoped board seat
Directorships at Artemis are scoped carefully at the outset so responsibilities are clear, the role is proportionate, and the involvement is useful from day one.
-
Talk through the structure
We start with a direct conversation about the entity, its counsel, service providers and what the board actually needs: investment judgement, substance presence, fund-services experience, or a combination. No sales process, just a candid read on whether Artemis is the right fit.
-
Scope the role in writing
We agree what the appointment covers: independent directorship, Economic Substance directorship, or both. Time commitment, meeting cadence, escalation triggers and interaction with any existing directors are set out clearly so nothing is left implied.
-
Complete onboarding and appointment
We handle KYC, review the constitutional documents, offering materials, service-provider agreements and any prior board packs. Appointment is formalised with counsel, and we confirm CIMA and registry filings where relevant.
-
Engage at board level
We prepare for and attend board meetings, review materials properly, ask the questions that need asking, and document decisions in a way that stands up to regulatory and investor scrutiny. Where the role is Economic Substance, meetings are held in Cayman with records to match.
-
Stay close between meetings
Governance rarely fits neatly around a quarterly calendar. Within the agreed scope, we remain available for interim matters (NAV issues, side letters, redemptions, regulatory correspondence) and escalate promptly when something needs the full board's attention.
